PKNS – Tolong Melayu kerja rumit? Tidak, boleh buat untung!!!

Tiga aset PKNS – Komplex PKNS, SACC Mall, dan Menara PKNS telah pun dijual atau dicadang untuk dijual kepada AMANAHRAYA REAL ESTATE INVESTMENT TRUST, atau “ARREIT”. 

Komplex PKNS diurakan untuk dijual dengan harga RM89 juta, atau pada RM176.90 keatas keluasan bersih yang boleh pakai, 502,958 kaki persegi. Manakala SACC Mall berkeluasan digunapakai seluas 185, 178 kaki persegi di cadangkan dijual pada harga RM90 juta, atau pada RM486 sekaki persegi. Menara PKNS pula seluas 244, 316 kaki persegi dijual dengan harga RM91 juta, atau pada RM372.46 sekaki persegi. Harga keseluruhan nya adalah RM270 juta.

Cara bayaran adalah seperti berikut:-

ARREIT will satisfy the purchase consideration of RM270,000,000 (which may be subject to revision in the manner as set out in Section 2.4 above) by the Completion Date, in the following manner:

  1. A sum of RM108,000,000, representing 40% of the Purchase Consideration, shall be satisfied by the issuance of 122,727,273 new Units at an issue price of RM0.88 per Unit to PKNS, in the following proportion:
  2. 40,454,546 Consideration Units in respect of Kompleks PKNS;
  3. 40,909,091 Consideration Units in respect of the SACC Mall; and
  4. 41,363,636 Consideration Units in respect of Menara PKNS.

The Consideration Units will be issued within 7 days from the date on which the last of the conditions precedent set out in the Conditional SPA is fulfilled (“Unconditional Date”).

  1. A sum of RM162,000,000, representing 60% of the Purchase Consideration, shall be paid in cash to PKNS in the following proportion:
  2. RM53,400,000 in respect of Kompleks PKNS;
  3. RM54,000,000 in respect of the SACC Mall; and
  4. RM54,600,000 in respect of Menara PKNS.
  • ARREIT will satisfy the cash consideration on the Completion Date.

PKNS masih memegang hartanah secara indirect melalui pegangan saham amanah terbesar, dan masih memperolehi keuntungan dari bayaran sewa melalui dividen, dan bonus issue sekiranya bangunan di nilai semula. Jadi, mengapa perlu bertanya lima aset PKNS akan dijual, kerana tiga sudah dijual?

P.S: Ada sesiapa yang berkepentingan keatas hartanah tersebut dan ingin membantah tentang harga jualan? Boleh, jikalau mau!!
